    Working Hand-in-Hand on an International Acquisition

    LANE PR has worked on nearly 50 acquisitions for clients over a broad range of industries.  Recently, however, I had the opportunity to be part of the team on a very unusual deal that involved working with two foreign stock exchanges.  LANE PR was brought in by Infinova, a global provider of complete video surveillance solutions, for their $89 million acquisition of security and video surveillance peer, March Networks.

    A U.S. headquartered company, Infinova has operations across the world and is publicly traded on the Shenzhen stock exchange in China. March Networks, also a global company, is based in Ottawa, Canada and is publicly traded on the Toronto stock exchange.

    The acquisition required regulatory oversight and approval from regulatory bodies from the U.S., Canada, and China.  For me, the most interesting aspect of the deal was the opportunity to work with an international company operating across diverse cultures and countries.

    Our team worked hand-in-hand till the late hours of the night with senior management of both companies to implement our acquisition strategy including timing, messaging, document generation, media outreach, and overall PR and IR council.

    The result was a seamless and clear flow of information to all constituencies and media coverage to accelerate Infinova’s future growth.   I look forward to following Infinova as they continue to expand and bring innovative products to the market.

    Oregon Wine Country with Wines from Spain’s Katrin Naelapaa

    untitledEarlier this month, the LANE PR Portland office was pleased to have Wines from Spain’s director, Katrin Naelapaa, join us for a few days out west. It was her first time to Oregon, and we promised a good time.

    We started Katrin’s tour by visiting Portland’s Pearl District, NW 23rd Avenue and Reed College. We then made our way out to the Willamette Valley for lunch at The Dundee Bistro and wine tasting at Stoller Vineyards and Sokol Blosser.

    The day concluded with Katrin and Wendy Lane Stevens celebrating Portland’s Rising Stars with a dinner at Bluehour.

    LANE PR APPOINTS AMY PATERSON VICE PRESIDENT OF SOCIAL MEDIA

    Move Strengthens Agency’s Digital Communications Focus

    Thoma Bravo Acquires Blue Coat Systems for $1.3 Billion - New York Times, December 9, 2011

    An investor group, led by the private equity firm Thoma Bravo, announced on Friday that it had agreed to purchase Blue Coat Systems, a maker of enterprise security and network software, for $1.3 billion in cash.

    The group, which includes the Ontario Teachers’ Pension Plan, will pay Blue Coat’s shareholders $25.81 — a 48 percent premium to Thursday’s closing price.

    The acquisition of Blue Coat — the third enterprise software transaction in seven days — is yet another sign that deal-making in the sector is heating up. On Thursday, I.B.M. announced a $440 million deal to buy DemandTec, a Web-based data analytics company. And on Saturday, Germany’s SAP agreed to buy SuccessFactors, a human resource management service. In each case, the target was an enterprise software company with Web-based applications and the buyer was willing to pay a roughly 50 percent premium.

    Blue Coat, based in Sunnyvale, Calif., specializes in applications that help businesses optimize their online networks for speed and efficiency. Its security products, which are also offered through the so-called cloud, also help companies control and monitor the data that flows from the Web.

    “Our partnership with Thoma Bravo will assist Blue Coat in more aggressively realizing the opportunities in its two markets, by providing a platform that enables greater focus on the business that supports the future growth of the company,” Gregory S. Clark, Blue Coat’s chief executive, said in a statement.
